This sample establishes guidelines for creating an HR and compensation committee charter.
The purpose of the committee of the board of an organization is to discharge the responsibilities of the board related to compensation of the organization’s executives and directors, to produce an annual report on executive compensation for inclusion in the organization’s proxy statement, to provide general oversight of the organization’s compensation structure, to review and provide guidance on the organization’s HR programs, and to perform the specific duties and responsibilities outlined in this charter.
